BY-LAWS OF THE

ATASCOCITA HIGH SCHOOL

ALL SPORTS ATHLETIC BOOSTER CLUB

 

ARTICLE I: NAME

 

The name of this organization shall be the Atascocita High School All Sports Athletic Booster Club.  It shall also be known as the AHS Athletic Booster Club.  The AHS Athletic Booster Club Executive Board shall consist of the officers as defined in Article V.

 

ARTICLE II:  PURPOSE

 

Section 1    The purpose of this club is to support the boys and girls Texas University Interscholastic League (UIL) sanctioned athletic programs at Atascocita High School. In all matters in support of this purpose, this club shall adhere to the UIL guidelines.  The principal may include other athletic programs that follow the UIL guidelines and the Athletics Amateur Rule.

 

Section 2    The by-laws shall govern the activities of the AHS All Sports Athletic Booster Club and shall be reviewed annually by the Executive Board.

 

ARTICLE III: POLICIES

 

          Section 1    The AHS Athletic Booster Club shall be noncommercial, nonsectarian and non-partisan.  Said organization is organized exclusively for charitable, educational, or scientific purposes including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

 

          Section 2    No part of the net earnings of the organization shall incur to the benefit of, or be distributed to it's members, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions and furtherance of the purposes set forth in the purpose clause hereof.  No substantial part of the activities of the organization shall be the carrying on of propaganda or otherwise attempting to influence legislation and the organization shall not participate in, or intervene in (including the publishing or distribution of statements), any political campaign on behalf of any candidate for public office.  Notwithstanding any other provision of the document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under the section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code or (b) by an organization, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

 

Section 3    No Board or committee member of the AHS Athletic Booster Club shall represent themselves on behalf of the AHS Athletic Booster Club without prior consent of the Board.

 

 

Section 4    Under dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.  After paying any debts outstanding, the remaining assets shall be distributed to the Atascocita High School, or shall be distributed to the federal government or to a state or local government for a public purpose.  Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal officer of the organization is located, exclusively for such purpose or to such organization of organizations as said Court shall determine which are organized and operated exclusively for such purposes.

 

ARTICLE IV: MEMBERSHIP AND DUES

 

Section 1    Any adult or business organization subscribing to the purpose of this club may become a member, subject only to compliance with the provisions of the by-laws.

 

Section 2    Each member of the organization shall pay annual dues and all memberships shall expire on June 30 of each year.  The Executive Board shall determine the amount of the annual dues. 

 

Section 3    Only members of the AHS Athletic Booster Club whose dues are current shall be eligible to participate in the business meetings or to serve on any of the elective or appointive positions.  The superintendent, or a designee who does not coach or direct a UIL contest, has approval authority over the AHS Athletic Booster Club and should be invited to all meetings. 

 

Section 4    Regular meetings of the membership shall be held at the discretion of the Executive Board.  The meeting for May shall be designated as the annual meeting for the election of Executive Board members. Special meetings may be called at the request of the President. 

 

ARTICLE V:  EXECUTIVE BOARD, ELECTION, AND AUTHORITY

 

Section 1    This organization shall consist of the Executive Board.  The Executive Board shall consist of the President, the First Vice President, the Second Vice President, Secretary and Treasurer.  The AHS Athletic Coordinator and immediate Past President shall be ex-officio members of the Board without voting rights. Any executive board position can co-chair with someone. All members of the Executive Board except the immediate Past President, AHS Athletic Coordinator and Committee Chairpersons shall be elected by the general membership at the annual meeting held in May of each year and shall take office July 1st. 

 

Section 2    A Nominating Committee shall be approved no later than the second week in March of each year and select the candidates for the Executive Board.  The Nominating Committee shall consist of 3 or 5 members of which two are Executive Board members and the others are members in good standing. The proposed slate of officers shall be submitted to the general membership during the April general meeting.  Nominations from the floor may then be taken at the April meeting.    

Section 3    Any elected member of the Executive Board may be removed by a majority vote of the Executive Board if the actions of such elected officials are determined to be detrimental to the goals and best interests of this organization.  Any appointed committee chairperson may be removed by a majority vote of the Executive Board if the actions of such appointed chairpersons are determined to be detrimental to the goals and best interests of this organization.  A vacancy occurring in any position on the Board shall be filled for the remainder of the term by a person elected by a majority vote of the Executive Board within thirty days of the effective date of the Board members resignation. 

 

Section 4    The Executive Board shall be empowered with the authority to conduct the business of the club in accordance with the provisions of the by-laws and directives from the general membership.

 

Section 5    The President shall preside at all meetings.  The President shall appoint all Standing Committee Chairpersons.  The President shall cast the deciding vote in all Executive Board, and membership meetings in the event of a tie vote.  The President shall submit an annual report on the operation of the AHS Athletic Booster Club at the May meeting of the membership.  The President may authorize expenditures up to $500.00 without approval of the Executive Board.

 

Section 6    The First Vice President shall exercise the powers of the President in the Presidents absence and shall succeed to the office of the President the following year or when the office becomes vacant.  The First Vice President shall be the chairperson of the Membership Committee.

 

Section 7    The Second Vice President shall coordinate All-sports Representatives.

 

Section 8    The Secretary shall take minutes at all meetings of the Executive Board and general membership and perform such other duties as the Executive Board may direct. 

 

Section 9    The Treasurer shall keep all financial records for the club and act in accordance with the provisions of Article VII of these by-laws.  The Treasurer is responsible for monthly reconciliation of the AHS Athletic Booster Club bank account and presenting this information at all monthly board meetings.  All tax reports and filings are the responsibility of the Treasurer.  The Treasurer will submit to an outside audit at the discretion of the Executive Board and/or the Principal.  An internal audit will be performed on an annual basis within forty-five (45) days of the fiscal year end.  The audit committee will be formed at the March meeting and will consist of three (3) members in good standing.  The Treasurer is responsible for attempting to collect any unpaid checks presented to the AHS Athletic Booster Club. The Treasurer shall present a proposed budget at the May meeting.

 

Section 10 The Past President position is filled by the outgoing President of the AHS Athletic Booster Club.  The Past President shall serve in an advisory capacity to the Executive Board and oversee parliamentary procedures at all meetings.

 

Section 11 A Sport Representative(s) will be selected by the coach of each sport. Their duties are to represent the sport by coordinating their banquets and membership drives, promoting the annual fundraising, assisting the coaches, attending the monthly meetings and any other responsibilities that may be necessary.  A sport may have more than one representative.

Section 12 The Standing Committee Chairpersons are appointed by the President. They may include committees on 1) communications/ publicity, 2) merchandise, 3) programs/ sponsorships, 4) scholarships and 5) fundraising. The President may appoint or dissolve additional committees, combine their duties and accept committee reports on a periodic or as needed basis.   

 

ARTICLE VI: QUORUM

 

A quorum for meetings of the membership and Executive Board shall consist of those members present and voting.  A majority of those present and voting shall be sufficient to carry any question brought before a meeting of the Executive Board or membership unless a higher percentage is specified elsewhere in these by-laws. 

 

ARTICLE VII: FINANCES

 

Section 1    All money belonging to this organization shall be deposited in a local financial institution under the name of the club. 

 

Section 2    The Treasurer and the President shall sign all checks written on the club account.

 

Section 3    All money shall be spent in a way that is consistent with the purpose of this organization and the rules and regulations of the UIL guidelines.

 

Section 4    All requests for funds from individual sports should be presented to the athletic coordinator who shall in turn direct these requests to the Executive Board.  The Executive Board will then decide if the request is within UIL guidelines and is feasible to make such expenditures.  A sports representative or coach should be present at the meeting when the request is approved.

 

Section 5 The Treasurer shall provide the Executive Board and membership with a financial report at the regular monthly meeting.  The Treasurer shall present a proposed budget for the upcoming year at the May meeting.

 

ARTICLE VIII:  FISCAL YEAR

 

          This organization's fiscal year begins on July 1st and runs through June 30th.

 

ARTICLE IX: PARLIAMENTARY AUTHORITY

 

          The rules contained in Robert's Rules of Order, Revised shall govern the AHS Athletic Booster Club in all cases in which they are applicable except where they are in conflicted with these by-laws.

ARTICLE X: RECORDS

 

          The AHS Athletic Booster Club shall keep correct and complete records of accounts and shall keep minutes of the proceedings at its meetings.  A record of all members names and addresses that are eligible to vote must be kept.  A copy of all books and records of the AHS Athletic Booster Club will be available through the Athletic Department at Atascocita High School.  All books and records are considered public records and may be viewed at any time if requested. 

 

ARTICLE XI:  AMENDMENTS

 

          These by-laws may be amended at any regular meeting of the AHS Athletic Booster Club by a two-thirds vote of the members present and voting, provided that notice of the proposed amendment shall have herein been given at least thirty days in advance of the meeting.

 

ARTICLE XII:  DISSOLUTION

 

          In the event that the Atascocita High School All Sports Athletic Booster Club is dissolved, assets shall be distributed for one or more exempt purposes within the meaning of section 501(C) (3) of the Internal Revenue Code, or corresponding section any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.  Any such assets not disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
